Confidentiality
Any non-public information concerning the client must be kept in strict confidence during and after the engagement. BTG’s guidance is that due to confidentiality obligations, consultants should not name clients on LinkedIn, instead referring to them categorically (“Top 10 Global Pharma Company” etc.). Consultants should also keep their confidentiality obligations in mind determining the amount of detail about projects they disclose on LinkedIn.
Independent Contractor Status
Note: Please be sure that everyone you work with is aware that you are an independent contractor.
Here are some helpful tips:
- Always refer yourself as a consultant or contractor.
- Use your independent business cards and email address 9rather than the client’s).
- Set your own business hours.
- Continue marketing your services during the engagement (e.g., maintain your website, update your LinkedIn profile, and continue developing independent client relationships).
- Remember that since you are not an employee of BTG or the client, you are not entitled to claim unemployment benefits, workers compensation, or similar benefits.
Independent Contractor Misclassification Risk
- When referring to their engagements with BTG, consultants should describe their role accurately such as “Consultant Engaged by BTG” or “Independent Consultant to BTG” or “Consultant Placed by BTG”, etc.
- Note: if you are working as a temporary employee, the independent contractor classification will not apply to you. Please contact your Client Service team members with any questions.
Insider Trading
- Please be sure you understand the rules around insider trading.
- It is illegal to trade in securities (debt or equity) of any public company while in the possession of material inside information. Violation of insider trading laws can expose you to personal criminal liability, including imprisonment and fines. It is also illegal to give inside information to others.
- You should not reveal any information that would be in conflict with your obligations to a former employer or client.
- If you ever find yourself in a difficult situation (e.g., a client asks something that makes you uncomfortable or you are concerned that there may have been a breach in confidentiality etc.) please notify BTG right away.
